It is an agreement between You as the user of the Web Site and Stockmed Network Private Limited ("SNPL"). The expressions “You” “Your” or “User(s)” refers to any person who accesses or uses the Web Site for any purpose.

For the purpose of these Terms of Use, wherever the context so requires "You" or "User" shall mean any natural or legal person who has agreed to become a buyer on the Website by providing Registration Data while registering on the Website as Registered User using the computer systems. Furthermore, you agree to defend, indemnify and hold STOCKMED harmless from and against any and all claims, damages, costs and expenses, including advocate’s fees, arising from and related to your access and use of the Website. Stockmed shall not be liable for any loss or damage arising from its failure to perform any of its obligations under this Agreement if such failure is the result of circumstances outside its control including but not limited to the outbreak of war, any governmental act, act of war, explosion, accident, civil commotion, riot, industrial dispute, strike, lockout, stoppages or restraint of labour from whatever cause, whether partial or general, weather conditions, traffic congestion, mechanical breakdown, obstruction of any public or private road or highway or outbreak of any communicable disease or any other force majeure, fire, flood or any other act of God.

STOCKMED may at any time make changes or modify the website, its contents, the policies and terms and conditions including the privacy policy, shipping policy, return policy without any prior notice and it may do so with no prior permissions from users of the site or service.

Stockmed.com is a B2B and B2C Venue/Platform

The Web Site acts as a match-making platform for User(s) to negotiate and interact with other User(s) for entering into negotiations in respect thereof for sale or supply of goods or services. SNPL or Stockmed.com are not parties to any negotiations that take place between the Buyer and Seller and User(s) of the Web Site and are further not parties to any agreement including an agreement for sale or supply of goods or services or otherwise, concluded between the Buyers and Sellers or User(s) of the Web Site.

We do not control and are not liable in respect of or responsible for the quality, safety, genuineness, lawfulness or availability of the products or services offered for sale on the Web Site or the ability of the User(s) selling or supplying the goods or services to complete a sale or the ability of User(s) purchasing goods or services to complete a purchase. This agreement shall not be deemed to create any partnership, joint venture, or any other joint business relationship between IIL and any other party.

SNPL or Stockmed.com shall not be responsible for any action/interaction between the users, visitors, buyers, sellers of the website which may lead to any damage or loss to others due to negligence or not honoring any contract or agreement reached between such parties visiting the website and subsequently decide to buy/sell or enter into any contract between users/buyers/seller/visitors who have signed up on the website for business inquiry trade or transaction purpose.

If any user encounters any error in the services they should inform the Stockmed.com for such error so that corrective action can be taken.

Stockmed.com is solely a Platform for Buyers and Sellers for sale of Healthcare, Medical and Pharmaceutical Products, Equipment and allied products. SNPL is not responsible for any consequences that arise from buy and sale of these products. The buyer or user of the product needs to make their own judgment of the safety and risks associated with the product and they should take care at the time of purchasing the product and placing the order on the seller.

You further acknowledge that Stockmed will not be responsible or liable to comply with any warranties for the products supplied to the buyer upon placing of the order through this Website, over and above and in addition to the warranties provided under the applicable laws and as per the agreed terms between the buyer and seller.

Registered User(s)

To become a registered User(s) of the Web Site you must register with valid mobile number or email id and following procedure has been made available on the Web Site which is for the convenience of User(s) so that they can easily use the website. A user can become registered User(s) by filling an on-line registration form on the Web Site by providing the required information (including name, contact information, details of User(s) business, etc.). After successful registration SNPL will establish an account ("Account") for the User(s) upon successful registration and will assign a user alias ("User ID") and password ("Password") for log-in access to the User(s)’s Account. Stockmed may at its sole discretion assign to User(s) upon registration a web-based email or messaging account (“Email Account”), Chat option with limited storage space to send or receive emails or messages. Users will be responsible for the content of all the messages communicated through the account.

User(s) registering on the Web Site on behalf of business entities represent and warrant that: (a) they have the requisite authority to bind such business entity this Agreement; (b) the address provided by such User(s) at the time of registration is the principal place of business of such business entity; and (c) all other information provided to SNPL during the registration process is true, accurate, current and complete. For purposes of this provision, a branch or representative office of a User(s) will not be considered a separate entity and the principal place of business of the User(s) will be deemed to be that of its head office.

User(s) agree that by registering on the Web Site, they consent to the inclusion of their personal data in Stockmed.com on-line database and authorize SNPL to share such information with other User(s). SNPL may refuse registration and deny the membership and associated User ID and Password to any User(s) for whatever reason we may feel necessary. We may suspend or terminate a registered membership at any time without any prior notification in interest of SNPL or general interest of its User(s) without assigning any reason thereof and there shall arise no further liability on IIL of whatsoever nature due to the suspension or termination of the User account. User(s) registered on the Web Site are in no manner a part of or affiliated to SNPL. All the users are independent identity and they hold their operations as per their wise will and responsibilities.

User(s) further agree and consent to be contacted by SNPL through phone calls, SMS notifications or any other means of communication, in respect to the services provided by SNPL even if contact number(s) provided to SNPL upon registration are on Do Not Call Registry.

Transaction and Communication Platform

Our Website is a platform that Users utilize to meet and interact with one another for their transactions. STOCKMED is not and cannot be a party to or be control in any manner of any transaction between the Website's Users.

Henceforward:

1. All commercial/contractual terms are offered by and agreed to between buyers and sellers alone. The commercial/contractual terms include without limitation price, shipping costs, payment methods, payment terms, date, period and mode of delivery, warranties related to products and services and after sales services related to products and services. STOCKMED does not have any control or does not determine or advise or in any way involve itself in the offering or acceptance of such commercial/contractual terms between the buyers and sellers. Buyers and sellers must use their logical means to ascertain authenticity of the information provided and share between the users. The buyer may demand from the seller samples before placing the order so to see the quality of product to be supplied.

2. STOCKMED does not make any representation or warranty as to specifics (such as quality, value, salability, etc) of the products or services proposed to be sold or offered to be sold or purchased on the Website. STOCKMED does not implicitly or explicitly support or endorse the sale or purchase of any products or services on the Website. STOCKMED accepts no liability for any errors or omissions, whether on behalf of itself or third parties.

3. STOCKMED is not responsible for any non-performance or breach of any contract entered into between buyers and sellers. STOCKMED cannot and does not guarantee that the concerned buyers and/or sellers will perform any transaction concluded on the Website. STOCKMED shall not and is not required to mediate or resolve any dispute or disagreement between buyers and sellers.

4. STOCKMED does not make any representation or warranty as to the item-specifics (such as legal title, creditworthiness, identity, etc) of any of its Users. You are advised to independently verify the bona fides of any particular User that You choose to deal with on the Website and use Your best judgment in that behalf.

5. STOCKMED does not at any point of time during any transaction between buyer and seller on the Website come into or take possession of any of the products or services offered by seller nor does it at any point gain title to or have any rights or claims over the products or services offered by seller to buyer.

6. At no time shall STOCKMED hold any right, title or interest over the products nor shall STOCKMED have any obligations or liabilities in respect of such contract entered into between buyers and sellers. STOCKMED is not responsible for unsatisfactory or delayed performance of services or damages or delays as a result of products which are out of stock, unavailable or back ordered.

7. The Website is only a platform that can be utilized by Users to reach a larger base to buy and sell products or services. STOCKMED is only providing a platform for communication and it is agreed that the contract for sale of any of the products or services shall be a strictly bipartite contract between the seller and the buyer.

8. You shall independently agree upon the manner and terms and conditions of delivery, payment, insurance etc. with the seller(s) that You transact with.

Contents Posted on Site

You are responsible for any notes, messages, e-mails, billboard postings, photos, drawings, profiles, opinions, ideas, images, videos, audio files or other materials or information posted or transmitted to the Sites (collectively, "Content"). Such Content will become the property of STOCKMED throughout the universe. Selling

As a registered seller, you are allowed to list item(s) for sale on the Website in accordance with the Policies which are incorporated by way of reference in this Terms of Use. You must be legally able to sell the item(s) you list for sale on our Website. You must ensure that the listed items do not infringe upon the intellectual property, trade secret or other proprietary rights or rights of publicity or privacy rights of third parties. Listings may only include text descriptions, graphics and pictures that describe your item for sale. All listed items must be listed in an appropriate category on the Website. All listed items must be kept in stock for successful fulfilment of sales.

The listing description of the item must not be misleading and must describe actual condition of the product. If the item description does not match the actual condition of the item, you agree to refund any amounts that you may have received from the Buyer. You agree not to list a single product in multiple quantities across various categories on the Website. STOCKMED reserves the right to delete such multiple listings of the same product listed by you in various categories.

STOCKMED does not take responsibility or liability or warrant including but not limited to, the actions, products, content and services on STOCKMED’s website, which are linked through including but not limited to Affiliates and sites using STOCKMED’s APIs. Pharmaceutical Product/service Policies

We only showcase and provide platform for the pharmaceutical/Medical companies, sellers, distributors to promote their products in the overseas countries, we do not facilitate the purchase of pharmaceutical to the consumer without prescription or in any manner, the website only deals in bulk deals between the buyers and sellers and only advertises and/or showcases the pharmaceutical products posted by Users(s). User(s) involved in the purchase and supply of pharmaceutical products hereby agree to abide by and be compliant of any applicable laws, rules, regulations, notifications or orders issued by the Government of India or any of its agencies from time to time in this regard including but not limited to Drugs and Cosmetics Act, 1940, Drugs and Cosmetics Rules, 1945 ("Drug Rules"), Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954 ("Drug and Magic Remedies Act") amended from time to time.

Accordingly, the User posting the content shall ensure that the content so posted does not violate any statue in the rules made there under including the Act(s) as referred above, so that no consequences of any nature could be attributed to IIL in any manner whatsoever.

Sellers/Users(s) hereby undertake that they shall solely be responsible and shall bear all the liabilities in respect of selling prescription medicines and/or drugs mentioned in any of the Schedules of the Drug Rules without a prescription issued by a registered medical practitioner and in accordance with the conditions laid down in such rules. In the event of breach of such condition, IIL shall not be liable and responsible in any manner whatsoever.

Users(s) undertake and agree to indemnify and hold harmless Stockmed and/or any of its affiliates, directors, officers, employees or representatives from and against any and all losses, liabilities, damages, claims, costs and expenses (including attorney’s fees and expenses, any third party claims), which NSPL may incur or suffer as a result of or in connection with any illegal sales of drugs and/or medicines.

Stockmed does not offer any guarantees or warranties on the medicinal products or services displayed or listed on the Web Site and is not liable for any relevant transaction between the User(s), including transactions involving sale of any medicine(s) restricted and/or banned for sale by any governmental or any other regulatory authorities.
